Terms & Conditions

1. Acceptance of Terms
These Terms & Conditions (“Terms”) govern use of the Alliance Auto Logistics, LLC (“Alliance,” “we,” “us,” or “our”) website and, where expressly applicable, requests for transportation brokerage services made through the website. By using the website, you agree to these Terms.
These Terms are not intended to replace a separately executed broker-client agreement, dealer agreement, order confirmation, or other written transportation agreement between Alliance and a customer. See Section 17 regarding separate agreements and order of precedence.

2. Alliance Is a Transportation Broker
Alliance is a transportation broker. Alliance arranges transportation by authorized independent motor carriers but does not itself transport vehicles as a motor carrier unless expressly stated in a separate written agreement.
Independent motor carriers perform the physical transportation. Alliance does not take physical possession, custody, or control of vehicles in the ordinary course of its brokerage services. Nothing on this website should be construed as a representation that Alliance is the motor carrier providing the underlying transportation.

3. Quotes and Estimates
Transportation quotes are estimates based on information available when the quote is provided, including route, vehicle type and condition, timing, equipment, market conditions, and other factors. Unless Alliance expressly agrees otherwise in writing, a website quote is not a guarantee of carrier availability, pickup or delivery date, transit time, or final transportation price.
Material changes to shipment information may result in a revised quote.

4. Customer Information and Responsibilities
Customers are responsible for providing accurate and complete information concerning the vehicle, pickup and delivery locations, operability, modifications, dimensions where relevant, contact information, and other facts reasonably necessary to arrange transportation.
The customer is responsible for ensuring that the vehicle is legally available for transportation and for disclosing conditions that may affect safe loading, unloading, or transportation.

5. Scheduling and Delivery Dates
Pickup, delivery, and transit dates are estimates unless expressly guaranteed in a separate written agreement. Delays may occur due to weather, traffic, mechanical issues, carrier availability, governmental action, road conditions, acts of God, or other circumstances outside Alliance’s reasonable control.

6. Independent Motor Carriers and Carrier Evaluation
Alliance uses commercially reasonable procedures to evaluate motor carriers before assignment based on information reasonably available to Alliance. Carrier qualification or evaluation does not constitute a guarantee of a carrier’s future conduct, performance, safety, solvency, insurance response, or compliance.
Motor carriers engaged by Alliance are independent contractors and are not employees or agents of Alliance for purposes of performing the physical transportation.

7. Vehicle Condition, Inspection, and Personal Property
Customers should inspect the vehicle at pickup and delivery and ensure that the motor carrier’s bill of lading or condition report accurately reflects the vehicle’s condition. Any visible damage should be noted on the delivery documentation before the carrier departs when reasonably possible.
Unless expressly agreed otherwise, personal property should not be placed in a vehicle for transportation. Personal items may not be covered by motor-carrier cargo insurance and may be subject to carrier restrictions.

8. Vehicle Damage and Motor Carrier Liability
The independent motor carrier performing the transportation is responsible for the vehicle while it is in the carrier’s possession to the extent provided by applicable law and the carrier’s contractual obligations. Alliance does not insure the customer’s vehicle merely by arranging transportation and does not assume the motor carrier’s cargo liability.
Alliance may, as a service to the customer, assist in communicating with a motor carrier or insurer regarding a reported loss or damage claim. Such assistance does not constitute an admission of liability, an assumption of the motor carrier’s obligations, or a guarantee that a claim will be paid.
Any separate written agreement between Alliance and the customer may contain additional or different provisions concerning claims, liability, insurance, or risk allocation, and will control as provided in Section 17.

9. Payments and Fees
Customers agree to pay all charges that they authorize or that are due under the applicable quote, order confirmation, invoice, or separate agreement. Alliance may accept payment through ACH, credit or debit card, electronic payment services, or other approved methods.
Certain payment methods may be subject to a processing or convenience fee where permitted by law. Any such fee will be disclosed before or at the time payment is made. Payment terms for commercial accounts may be governed by a separate agreement or invoice.

10. Cancellations and Refunds
Cancellation, refund, deposit, and related payment terms are governed by the applicable quote, order confirmation, invoice, or separate written agreement provided to the customer. Any cancellation fee or non-refundable amount will apply only as disclosed or agreed in connection with the applicable transaction.
If no separate cancellation terms were disclosed or agreed, Alliance will determine any refund based on services already performed, costs incurred, and applicable law.

11. Claims
Customers should report loss or damage promptly and preserve relevant photographs, inspection reports, bills of lading, repair estimates, and other supporting documentation. Claims involving physical loss or damage during transportation are generally directed to the independent motor carrier and/or its insurer, subject to applicable law and any separate written agreement.
Nothing in these Terms extends any statutory or contractual claim deadline.

12. Website Use
You may use this website only for lawful purposes. You may not interfere with the website’s operation, attempt unauthorized access, introduce malicious code, scrape or misuse website content, impersonate another person, submit fraudulent requests, or use the website in a manner that violates applicable law or the rights of others.

13. Intellectual Property
Website content, including text, graphics, logos, design elements, and other materials owned by Alliance, is protected by applicable intellectual-property laws. Except as permitted by law, no Alliance-owned content may be copied, reproduced, distributed, or commercially exploited without prior written permission.

14. Communications
By providing contact information, you authorize Alliance to contact you regarding your quote, requested transportation services, existing orders, customer service, billing, and other communications related to your relationship with Alliance.
Where you separately consent to marketing text messages, message frequency may vary and message and data rates may apply. Consent to receive marketing text messages is not a condition of purchase. Reply STOP to opt out and HELP for assistance. Additional information concerning our handling of personal information appears in our Privacy Policy.

15. Disclaimer of Warranties
To the fullest extent permitted by applicable law, the website is provided on an “as is” and “as available” basis. Alliance does not warrant that the website will be uninterrupted, error-free, or free of harmful components.
Except for obligations expressly undertaken in a separate written agreement, Alliance does not guarantee the acts, omissions, performance, pickup or delivery timing, or insurance response of an independent motor carrier.

16. Limitation of Liability
To the fullest extent permitted by applicable law, Alliance will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including lost profits, lost business, loss of use, or diminution in value, arising from use of the website or Alliance’s brokerage services.
Alliance is not liable for loss, damage, or delay caused solely by the acts or omissions of an independent motor carrier except to the extent liability is imposed on Alliance by applicable law or expressly assumed by Alliance in a separate written agreement.

17. Separate Agreements; Order of Precedence
A customer may enter into a separate broker-client agreement, dealer agreement, order confirmation, rate confirmation, statement of work, or other written agreement with Alliance. If a separate written agreement expressly governs the same subject matter and conflicts with these Terms, the separate written agreement will control to the extent of the conflict.
Commercial or dealer relationships may be subject to additional negotiated terms. These website Terms should not be construed to modify a separately executed agreement unless that agreement expressly provides otherwise.

18. Governing Law and Venue
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles, except to the extent federal law applies.
To the fullest extent permitted by applicable law, any legal action arising out of or relating to these Terms or use of the website shall be brought in the state or federal courts located in Pinellas County, Florida, and the parties consent to the jurisdiction of those courts.

19. Severability; Waiver
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law. Alliance’s failure to enforce any provision does not waive its right to enforce that provision or any other provision later.

20. Changes to These Terms
Alliance may update these Terms from time to time. The current version will be posted on the website with a revised “Last Updated” date. Changes apply prospectively except as otherwise permitted by law.
